Dear User, before you (the “Team Super Administrator”) formally proceed to delete your AdsPower team, we would like to draw your attention to the fact that deleting a team is an irreversible, high-risk operation that will have significant and permanent consequences for your team and all its members. To safeguard your rights and interests, please ensure that you carefully read and fully understand the entirety of this “AdsPower Team Deletion Agreement” (hereinafter referred to as “this Agreement”), particularly the terms highlighted in bold or otherwise emphasised, before proceeding.
This Agreement constitutes the agreement between you and SUNFLOWER TECH PTE. LTD. (hereinafter referred to as “AdsPower” or “we”) regarding the deletion of an AdsPower team. By ticking to confirm this Agreement via the interface, or by actually commencing the deletion process, you indicate that you have fully understood, agreed to and accepted all the terms of this Agreement.
1. Definitions and System Description
User: Refers to the entity that has registered with the AdsPower system and holds a unique account (user_id).
Team: Refers to the core unit used for business collaboration and data isolation within the AdsPower multi-team system. Data between different teams is completely isolated.
Member Type: Refers to a fixed attribute of a user account that determines their multi-team capabilities.
l Team-Created Member: A user without multi-team capabilities. Their account is created by a team super-administrator; they are fully subordinate to and belong exclusively to that team, and cannot switch teams or join other teams.
l Externally Joined Members: Refers to users with independent accounts who join a team via invitation or similar means. Such users may be associated with multiple teams and switch between the teams they have joined.
Team Role: Refers to the permission role assigned to a user within a specific team (e.g., Super Administrator, Administrator). This role is valid only within the current team.
Team Super Administrator: Refers to a user designated as a “Super Administrator” within a specific team. Only this role has the authority to initiate the deletion of the team. A team has exactly one Team Super Administrator (except in special circumstances).
Team Deletion (as referred to in this Agreement): Refers to a high-risk operation performed by the Team Super Administrator to permanently delete the entire team entity and all its data, and to process the members created by the team.
2.Legal Consequences and Liability
You acknowledge and confirm that once a team has been successfully deleted, the following irreversible consequences will arise. As the Team Super Administrator initiating this operation, you shall bear full responsibility for this operation and all consequences arising therefrom.
2.1 Permanent Deletion of Team Data
All team data, including but not limited to environments, proxies, member lists, configurations, logs, wallet records, etc., will be marked as “Deleted” within the system and enter the cleanup process; it cannot be recovered, restored, or reconstructed by any means.
2.2 Impact on Team Members
Member accounts created by this team will be completely and permanently deleted. All account data (including but not limited to login credentials and usage records) will be irretrievable, and associated information such as registered email addresses and mobile numbers will be released. This action will result in these members being unable to log in to or use AdsPower.
All team members will lose access to the team’s data and resources. Their association with the team will be immediately terminated. This action will not affect other teams to which the members belong.
We kindly remind you: before requesting deletion, please ensure you export and save any data requiring backup (such as browser fingerprint configurations, automation scripts, etc.) in advance.
2.3 Handling of Assets and Services
Team Wallet: All balances, bonus funds and energy within the team wallet will be immediately cleared; these are non-refundable and cannot be transferred.
Unused Subscriptions: If the team has purchased a paid subscription that has not yet expired, the remaining service period will be automatically terminated, and the relevant fees will not be refunded.
Automatic Renewal and Payment: The relevant automatic renewal service will be deactivated, and the payment method will be unlinked.
2.4 Your Responsibilities and Warranties
You confirm that you have fulfilled your duty to fully inform all members of the team, ensuring that they (in particular members created by the team) are aware that this deletion will result in the permanent removal of their accounts or access rights. You, as the team’s super administrator, shall be solely responsible for handling and bearing full liability for any disputes, claims or losses arising from the deletion of the team. To the fullest extent permitted by applicable law, AdsPower shall not be liable to any member or third party in connection with or arising out of such deletion, save for any liability which cannot be lawfully excluded.
Nothing in this Agreement shall exclude or limit liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.
3. Prerequisites for Deleting a Team
You must ensure that all of the following conditions are met when submitting a deletion request:
(1) Identity requirement: You must be a user with Super Administrator status within the target team.
(2) Service Status:
l The team currently has no active paid subscriptions;
l The team has disabled the automatic renewal feature for its plans;
l The total assets in the team wallet (balance, gifted funds, etc.) are 0.
(3) Account Security: Your (the team Super Admin’s) AdsPower main account has been linked to a valid mobile number or email address.
(4) No Disputes: The team has no known unresolved material complaints, investigations or legal disputes.
4. Deletion Process and Rules
4.1 Process Initiation and Verification
You must initiate the process via the designated “Team Management” portal within the AdsPower client. The system will perform real-time verification against the conditions set out in Article 3 of this Agreement; the process will be terminated if any condition is not met.
4.2 Final Confirmation
Upon passing the validation, you must carefully read and tick each item in the confirmation of legal consequences set out in Article 2 of this Agreement to indicate that you are aware of and accept all consequences.
4.3 Execution of Deletion
Upon successful completion of the deletion, all members’ access rights to the team will be immediately terminated. We will notify you (the team super-administrator) via in-app messages and email.Such notification shall be deemed effective upon dispatch.
4.4 Your Warranties
You expressly acknowledge that you have been given the opportunity to back up all relevant data prior to deletion.You warrant that all representations and statements made when submitting the deletion request are true, accurate and complete, and that the team fully satisfies all the conditions set out in Article 3 of this Agreement. Otherwise, you shall bear all legal liability arising therefrom.
5. Miscellaneous
5.1 Validity of the Agreement
This Agreement forms part of the User Agreement; matters not covered herein shall be governed by the User Agreement. In the event of any conflict with the User Agreement, this Agreement shall prevail; the deletion of an account does not exempt you from any liabilities you may incur under laws, regulations or platform rules.
5.2 Governing Law
This Agreement, and any dispute, controversy or claim (including non-contractual disputes or claims) arising out of or in connection with this Agreement, its subject matter or its formation, shall be governed by and construed in accordance with the laws of Singapore.
5.3 Dispute Resolution
The parties agree that any dispute, controversy or claim arising out of or in connection with this Agreement, including but not limited to its formation, validity, interpretation, performance, breach, termination or invalidity, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of SIAC for the time being in force. The place of arbitration shall be Singapore, and the language of the arbitration shall be English. The arbitral award shall be final and binding on both parties.
